1. Introduction

By accessing or using our services, including the platform at https://portal.ultimo-bots.com, you agree to these Terms and Conditions ("Terms"). If you do not agree, please discontinue use.
2. Services Provided
Ultimo Bots provides a cloud-based platform enabling users to create and manage AI-powered chatbots. These services are offered through a subscription model and include training, configuration, hosting, and deployment of chatbots.
The creator of each chatbot may access chat history, analytics, and chatbot settings via the platform, but does not acquire ownership of the source code, models, or system infrastructure.
3. Subscriptions and Pricing
Services are provided under subscription plans as listed on https://portal.ultimo-bots.com. Plans, features, and pricing are subject to change without prior notice and do not require revision of these Terms. Payments are non-refundable unless required by law.
4. User Responsibilities
You are responsible for:
- Ensuring accuracy and legality of any data or instructions provided
- Using the chatbot in compliance with applicable laws and ethical standards
- Avoiding misuse, fraud, or abuse of the service
- Securing your account credentials and chatbot access
You remain solely responsible for chatbot behavior, performance, and responses based on your configuration and input.
5. AI Technology and Limitations
Ultimo Bots uses large language models (LLMs) and other AI systems. The internal architecture, workflows, and data processing models are proprietary and confidential.
AI-generated content may contain inaccuracies or errors. Accuracy depends on multiple factors including the clarity of your training materials, website structure, prompts, and user input. Users may intentionally or unintentionally trigger misleading or adversarial behavior (e.g., jailbreaks).
We provide no warranty of correctness or fitness for a specific purpose. You acknowledge and accept that chatbot output may contain mistakes and we assume no liability for damages (financial, legal, reputational, or otherwise) resulting from chatbot usage.
6. Ownership and IP
Users retain rights to their uploaded content. However, all AI models, infrastructure, software, and workflows remain the exclusive property of Ultimo Bots. Subscriptions provide usage rights only and do not grant ownership, license, or source code access.
We may process chatbot interaction data to improve our models, services, and commercial offerings.
7. Third-Party Integrations
You may integrate your chatbot with third-party tools (e.g., Zapier, CRMs). You are solely responsible for complying with the terms and privacy rules of those services.
8. Service Availability
We aim for high availability but do not guarantee uninterrupted service. Features may be modified, suspended, or removed at our discretion.
9. Liability Disclaimer
The platform is provided “as is.” We disclaim all warranties, express or implied. We are not liable for indirect or consequential damages. Our total liability is limited to subscription fees paid in the six (6) months prior to a claim.
10. Termination
We may terminate your access to the service at any time, at our sole discretion, if we believe your behavior violates our written or expected usage guidelines. We are not required to disclose reasons. You will be notified of termination, and any outstanding financial obligations will be addressed individually.
11. Governing Law
These Terms are governed by Swiss law. Disputes shall be resolved in Lucerne, Switzerland. Class action participation is waived to the extent permitted by law.
