1. Who runs the program and who can join
The partner program is run by Ultimo Bots GmbH, Stegmattstrasse 11, 6033 Buchrain, Switzerland ("we"). You ("partner") join it by accepting these terms in your Ultimo Bots account. Any person or company with an account can join; a paid plan is not required.
We may decline a participation or end it as described in section 10.
2. Your partner links
In the portal you create personal links. They lead to ultimo-bots.com or to our sign-up page and carry your partner code (?ref=…).
When someone opens one of your links, their browser stores your code in a cookie for 90 days. If the person opens another partner's link afterwards, the most recent link counts.
3. Which customers count
An account is assigned to you when all of the following apply:
- It is a new Ultimo Bots account, created within 90 days of the click in the same browser.
- It is not your own account, nor an account of your company, your employees or your household, and it was not created only to earn a commission.
- It has not already been assigned to another partner. Each account counts for one partner only, and the first assignment stays.
If cookies are blocked or deleted, or the person signs up in another browser or on another device, we cannot assign the account to you. There is no claim to a manual assignment.
4. Commission
For every payment a customer assigned to you makes to us, you receive the commission rate shown on your partner page (standard: 20%), for the period shown there (standard: 12 months from the customer's first payment).
Payments that count are those made directly to us in the portal: subscriptions, credit packs and automatic top-ups. Taxes, refunded or disputed amounts, and payments made through third-party marketplaces or app stores (for example billing by Wix or Shopify) do not count.
Commissions are calculated in the currency of the payment and rounded to the smallest unit of that currency.
We may agree individual terms with you, for example a different rate or duration. They are shown on your partner page and apply to payments made after the change.
5. Review period, refunds and chargebacks
A commission is in review for 30 days after the payment and becomes payable afterwards. If the payment is refunded or disputed during this time, the commission is reduced or cancelled accordingly.
If a payment is refunded or disputed after its commission was paid out, we deduct that commission from your next payouts.
6. Payouts
We pay out once a month by bank transfer or PayPal as soon as at least 50 (in the currency of the payments, currently USD) is payable. Smaller balances carry over to the following month.
You keep your payout details in the portal complete and correct. We are not responsible for payouts that fail because of wrong details. Fees charged by your bank or by PayPal, and any currency conversion, are your own.
7. Taxes
Commissions are paid as calculated and include any value added tax that may apply. You are responsible for declaring and paying any taxes and social security contributions on your commissions.
If you need an invoice or a credit note for a payout, tell us before the payout.
8. How you may promote Ultimo Bots
You may share your links wherever it is lawful and honest: on your website, in newsletters to your subscribers, on social media or in advice to your clients. The following is not allowed:
- Spam, or messages to people who have not agreed to receive them.
- Paid search ads on the name "Ultimo Bots" or variants of it, and domains, profiles or ads that can be mistaken for ours.
- Misleading statements about Ultimo Bots, its prices or its features, or presenting yourself as acting for us.
- Hidden links, automatic redirects, cookies set without a real click, fake or self-made accounts, or any other manipulation of the tracking.
- Passing on part of your commission to customers as cashback or a discount, unless we agreed to it.
If you break these rules, we may cancel open commissions, reclaim commissions already paid for the affected accounts and end your participation.
9. Data protection
To run the program we process your account data, your links with their click counts (per day, without any data about the visitors), the accounts assigned to you and your payout details, which we store encrypted. Details are in our Privacy Policy.
You do not receive personal data of the customers you referred; your partner page shows them by number only. When you promote Ultimo Bots, you comply with the data protection and marketing laws that apply to you.
10. Ending the participation
You can leave the program at any time by writing to build@ultimo-bots.com. We can end your participation with 30 days' notice, or immediately for an important reason, in particular a breach of section 8.
Commissions on payments made before the end are paid out as usual, including a final balance below the minimum, unless the participation ended because of a breach of these terms.
11. Changes to these terms
We may change these terms. We announce changes in the portal at least 30 days before they apply; if you do not agree, you can leave the program before then. Changes never affect commissions on payments made before they apply.
12. Final provisions
You act as an independent partner, not as our employee, agent or representative, and you cannot make commitments on our behalf. Our liability is limited as set out in our Terms and Conditions.
These terms are governed by Swiss law. Disputes are resolved in Lucerne, Switzerland.
